Acceptance and eligibility
By accessing or using the Service, you agree to these Terms of Use. If you access or use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms of Use, and "you" will refer to that organization.
You must use the Service in compliance with all applicable laws, regulations, and any contract or policy that governs your own end users and data.
Export / Sanctions
You may not use the Service in violation of any applicable export control or sanctions laws, including those of the United States. You represent that you are not located in, or acting on behalf of, any restricted jurisdiction or party.
Service nature and role
DIT.ai operates as an independent technology platform that aggregates and resells access to third-party compute resources, APIs, and AI models (collectively, "third-party providers").
In the event of any inconsistency in the classification of third-party providers or data processing roles across DIT.ai documentation, the Data Processing Addendum shall prevail with respect to data protection matters, and the Terms of Use shall govern commercial and service operation matters.
Accounts and credentials
You are responsible for the accuracy of the information you provide when creating an account and for maintaining the confidentiality of your login credentials, API keys, and other access tokens.
You must promptly notify DIT.ai if you believe that your account or credentials have been compromised or used without authorization.
Permitted and prohibited use
You may use the Service to discover providers, route API traffic, manage usage, and access related features made available through the platform.
- violating applicable laws or third-party rights
- interfering with or disrupting the Service
- circumventing usage limits, billing controls, or security measures
- using the Service to train or develop competing AI models, or to reverse engineer, extract, or replicate underlying models or data
Responsibility for misuse
You are responsible for any use of the Service in violation of these Terms or applicable law, including infringement of third-party rights.
Third-party providers
DIT.ai may engage third-party infrastructure vendors, compute providers, and model providers to support the operation of the Service.
Depending on the nature of the service and processing activity, such providers may act as subprocessors, independent service providers, or independent controllers under their own terms and policies.
Your use of the Service may involve routing requests to such providers, and availability, performance, and outputs may depend on their systems and policies.
Data processing and routing
In providing the Service, DIT.ai may process and transmit your inputs, outputs, and related data to third-party providers as necessary to fulfill requests.
You acknowledge that such third-party providers may process data in accordance with their own terms and policies, and DIT.ai does not control their data handling practices and is not responsible for them.
Fees and billing
If you purchase paid services, you agree to pay all applicable fees, taxes, and usage-based charges. Pricing may vary by model, provider, region, and routing conditions.
Unless otherwise stated in a separate commercial agreement, all fees are non-refundable except where required by law or where DIT.ai expressly approves a refund in writing.
Usage measurement and pricing changes
All usage will be measured by DIT.ai’s metering systems, which will be the sole basis for billing.
Pricing may change at any time, including as a result of changes in third-party provider costs or market conditions. Your continued use of the Service constitutes acceptance of any updated pricing.
Any billing dispute must be raised within seven (7) days after the applicable invoice date.
Intellectual property
DIT.ai and its licensors retain all rights, title, and interest in and to the Service, software, branding, and related materials, except for any content and data that you or your users submit.
You retain your rights in your own inputs and outputs, subject to the rights of any third-party provider involved in fulfilling the request and any applicable law or contract.
Service availability
The Service depends on third-party providers and is provided on an "as available" basis. DIT.ai does not guarantee uninterrupted availability, latency, throughput, or performance.
DIT.ai may route, prioritize, or substitute providers at its discretion in order to maintain operation of the Service.
Disclaimers and limitations
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, DIT.ai disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
To the fullest extent permitted by law, DIT.ai will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Service, including those arising from third-party providers or AI models.
To the maximum extent permitted by law, DIT.ai’s total liability arising out of or relating to the Service will not exceed the amount you paid to DIT.ai in the 12 months preceding the claim.
AI outputs
Outputs generated through the Service are produced by third-party models and may be inaccurate, incomplete, or misleading.
You are solely responsible for evaluating and verifying outputs before relying on them. DIT.ai is not responsible for any decisions made or actions taken based on such outputs.
Suspension, termination, and updates
DIT.ai may suspend or terminate access to the Service if it reasonably believes there is a security risk, legal issue, payment failure, policy violation, or other misuse of the Service.
DIT.ai may update these Terms of Use from time to time. If DIT.ai makes material changes, it will post the updated version here.
Data Processing Addendum
To the extent that you process personal data through the Service, the Data Processing Addendum ("DPA") available at data-processing-addendum is incorporated into and forms part of these Terms of Use.
By using the Service, you agree to the DPA where applicable.
In the event of any conflict between the DPA and these Terms of Use, the DPA will prevail with respect to data protection matters.
Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Wilmington, Delaware.
